Please read these terms carefully before applying to partner with Elara Healthcare.
Elara Healthcare provides non-clinical growth, communication, coordination, scheduling, feedback, branding, digital visibility, and patient journey support services for licensed fertility clinics. Elara is not an ART Clinic, ART Bank, fertility clinic, laboratory, medical advisor, treatment provider, or referral commission agent.
Only independent clinics and doctors holding a valid, current ART registration are eligible to partner with Elara. Registration is verified prior to onboarding and at each renewal.
Elara's compensation under a partnership agreement is a fixed professional service fee for defined deliverables. It is not calculated as a commission per patient referred or treated.
Elara operates only through a fixed-fee professional service model. Elara receives no payment linked to patient numbers, consultations, procedures, IVF cycles, treatment value, pregnancy outcomes, clinic revenue, referral fees, or patient-linked commissions.
All clinical responsibility for diagnosis, consent, investigations, and ART procedures rests solely with the partner clinic/doctor. Elara has no role in and assumes no liability for clinical outcomes.
Elara does not recommend, rank, endorse, prioritise, or influence the clinical selection of any ART clinic. Patients retain complete freedom to choose, continue, or discontinue consultation with any clinic.
Elara reviews communication and marketing material it creates for partners against applicable advertising, ART Act, and PC-PNDT provisions. This review does not substitute the partner's own independent legal compliance obligations.
Elara does not guarantee any specific number of patient enquiries, conversions, or treatment outcomes as part of its services.
Either party may terminate the partnership agreement as per its agreed notice period. The agreement is automatically suspended if a partner's ART registration lapses, is suspended, or is cancelled.

All patient relationships remain exclusively between the patient and the independent ART clinic. Elara has no ownership, control, or rights over patient records or clinical interactions.
Elara's liability is limited to its role as a non-clinical growth, coordination, and branding partner, and does not extend to clinical outcomes or decisions made by partner clinics.
These terms are governed by the laws of India, and any disputes shall be subject to the jurisdiction of competent courts in India.
