Terms & Partnership Disclaimer

Please read these terms carefully before applying to partner with Elara Healthcare.

1. Nature of Elara's Services

Elara Healthcare is a practice-growth, coordination, and branding entity for independent, ART-registered fertility clinics and doctors. Elara is not registered as an ART Clinic or ART Bank under the Assisted Reproductive Technology (Regulation) Act, 2021, and does not operate any ART clinic, laboratory, or procedural infrastructure.

2. Eligibility for Partnership

Only independent clinics and doctors holding a valid, current ART registration are eligible to partner with Elara. Registration is verified prior to onboarding and at each renewal.

3. Nature of the Partnership Fee

Elara's compensation under a partnership agreement is a fixed professional service fee for defined deliverables. It is not calculated as a commission per patient referred or treated.

4. Clinical Independence and Responsibility

All clinical responsibility for diagnosis, consent, investigations, and ART procedures rests solely with the partner clinic/doctor. Elara has no role in and assumes no liability for clinical outcomes.

5. Compliance Review

Elara reviews communication and marketing material it creates for partners against applicable advertising, ART Act, and PC-PNDT provisions. This review does not substitute the partner's own independent legal compliance obligations.

6. No Guarantee of Patient Volume or Outcomes

Elara does not guarantee any specific number of patient enquiries, conversions, or treatment outcomes as part of its services.

7. Termination

Either party may terminate the partnership agreement as per its agreed notice period. The agreement is automatically suspended if a partner's ART registration lapses, is suspended, or is cancelled.

8. Data Consent

By applying to partner with Elara, you consent to the collection and use of your information as described in our Privacy Policy.

9. Limitation of Liability

Elara's liability is limited to its role as a non-clinical growth, coordination, and branding partner, and does not extend to clinical outcomes or decisions made by partner clinics.

10. Governing Law

These terms are governed by the laws of India, and any disputes shall be subject to the jurisdiction of competent courts in India.
